Samsung Biologics announced a roughly KRW 3 trillion rights offering on August 28, 2026. The offering will be conducted through a rights offering to existing shareholders followed by a general offering of unsubscribed shares, involving approximately 2.27 million common shares at a preliminary issue price of KRW 1.322 million per share.

The key issue is how the proceeds will be used. Approximately KRW 271 billion is expected to go toward acquiring Polypeptide Group, while approximately KRW 29 billion will be allocated to expanding Songdo Bio Campus II.

This rights offering is linked to two objectives: the acquisition and facility expansion.

The acquisition has been announced but is not yet complete

In July 2026, Samsung Biologics announced an all-cash public tender offer to acquire 100% of Polypeptide Group. The proposed price is CHF 44.31 per share, implying an enterprise value of approximately CHF 1.46 billion.

However, the tender offer remains subject to conditions including securing at least 66⅔% ownership and obtaining regulatory approvals. The company expects the acquisition to be completed by the end of 2026, so it cannot yet be described as definitively completed.

The new-share issuance ratio is lower than in the 2022 offering

Samsung Biologics’ 2022 rights offering was worth approximately KRW 3.2 trillion, with facility investment and the acquisition of securities in other companies as its main uses. The new shares in this offering represent approximately 4.9% of the existing total shares outstanding, lower than the approximately 7.6% reported for the 2022 offering based on the company’s explanation.

Key dates for existing shareholders

Twenty percent of the new shares will be allocated to the employee stock ownership association. Subscription by existing shareholders is scheduled for November 9–10, 2026, followed by a general offering of unsubscribed shares on November 12–13. The new shares are scheduled to be listed on November 30.

The preliminary issue price and schedule may change depending on the effectiveness of the securities registration statement and subsequent disclosures. Existing shareholders considering subscribing should therefore review the final disclosures again.

Samsung Biologics reported revenue of KRW 1.321 trillion and operating profit of KRW 586 billion for the second quarter of 2026. However, stable business performance does not guarantee the company’s share price or investment returns after the rights offering.
